Contract Decoder is an AI-powered tool that analyzes legal documents and provides plain-English summaries of their content. The Service is designed to help ordinary people understand contract text in leases, employment agreements, non-disclosure agreements, and other legal documents by identifying key clauses, obligations, and notable terms.

The Service uses artificial intelligence provided by Anthropic, PBC (Claude AI) to generate contract analyses. All analyses are AI-generated and are subject to the limitations and potential errors inherent in AI language models. The Service is provided for general informational purposes only.

3. Not Legal Advice

IMPORTANT: Contract Decoder does not provide legal advice. The analysis generated by this Service constitutes general legal information only. Use of this Service does not create an attorney-client relationship between you and Lexplayn LLC, Contract Decoder, its operators, or any affiliated persons. You should not rely on the output of this Service as a substitute for advice from a qualified, licensed attorney.

We are not liable for any consequences arising from your upload of PHI in violation of this prohibition. 6. Intellectual Property and Content License

Our Intellectual Property

The Service — including its design, interface, software, AI prompts, underlying methodology, trademarks, and all content created by us — is owned by Lexplayn LLC and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of our intellectual property to you. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of our Service or content without prior written permission.

Your Content

You retain all ownership rights in the documents, text, and images you upload to the Service. By submitting content to the Service, you grant Lexplayn LLC a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, process, transmit, and display your content solely as necessary to provide the Service, improve the Service, and generate anonymised research and statistics, as further described in our Privacy Policy. This license is limited in duration and terminates when your submitted content is deleted from our systems.

You acknowledge that contract analyses generated by the Service are produced by AI and provided as general information. You may use the analysis output for your personal, non-commercial purposes. We do not claim ownership of AI-generated analyses delivered to you, but we provide no warranty as to their accuracy or fitness for any purpose.

Feedback

If you provide feedback, suggestions, or ideas about the Service (such as thumbs up/down ratings), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

7. Third-Party Services

The Service may contain links to or integrations with third-party websites and services, including the American Bar Association's lawyer referral directory and our AI provider Anthropic. We do not control these third-party services and are not responsible for their content, accuracy, privacy practices, availability, or terms of service.

Your use of any third-party service accessed through or in connection with Contract Decoder is entirely at your own risk and governed solely by that service's own terms and policies. We expressly disclaim all liability arising from your use of any third-party service. We encourage you to read the terms and privacy policies of any third-party service before using it.

The inclusion of any link or integration does not imply our endorsement, sponsorship, or affiliation with that third-party service.

Any legal action or proceeding relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in King County, Washington. You consent to the personal jurisdiction of such courts and waive any objection to such jurisdiction or venue.

You agree to resolve any disputes with us on an individual basis. You waive any right to bring or participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding against us.

Notwithstanding the above, we may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of our intellectual property or other irreparable harm.

14. Changes to These Terms

We reserve the right to modify these Terms at any time in our sole discretion. Changes will be effective immediately upon posting to this page with an updated effective date. For material changes, we will make reasonable efforts to notify users through the Service or by email. Non-material changes take effect immediately upon posting.
